2. Engagement Terms

  • All services will be conducted as agreed in the signed statement of work (SOW) or service agreement.
  • Deliverables and timelines will be mutually agreed upon before the engagement begins.
  • Any changes to the scope of work during the engagement must be agreed to in writing.

3. Confidentiality

  • We are committed to maintaining the confidentiality of all client data and information.
  • We do not share or disclose any information about previous or current client engagements unless required by law.
  • All data provided to us during an engagement will be handled securely and deleted at the conclusion of the engagement, unless otherwise agreed upon in writing.

4. Use of Website

5. Intellectual Property

7. Client Responsibilities

To ensure the success of our engagements, clients must:

  • Ensure all necessary stakeholders, subject matter experts (SMEs), and team members are available during the agreed-upon times for consultations, meetings, or approvals.
  • Clients must provide up-to-date and accurate documentation, system information, policies, and other relevant materials necessary for assessments or implementations.
  • Grant appropriate and secure access to systems, applications, or infrastructure as required to conduct services (e.g., penetration testing, monitoring, or risk assessments).
  • Maintain open and responsive communication throughout the engagement to address questions, provide feedback, and approve deliverables.
  • Collaborate to ensure adherence to scheduled meetings, assessments, or milestones. Notify us promptly of any scheduling conflicts or unforeseen changes.
  • Take responsibility for implementing recommendations provided during the engagement unless we are contracted to implement them directly.
  • Assign a primary point of contact (POC) within the organization to coordinate with our team and facilitate efficient communication.
  • Ensure staff cooperation during assessments or security-related activities, such as penetration testing or employee training.
  • Ensure all activities related to the engagement comply with applicable laws, regulations, and ethical standards.
  • Avoid significant changes to IT systems, infrastructure, or policies during the engagement unless such changes are part of the agreed scope.
  • Promptly notify us of any security incidents or anomalies detected during the engagement to allow for immediate analysis and response.
  • Ensure readiness for budget approvals, procurement of tools, or allocation of resources as necessary to implement project recommendations.

8. Limitations of Liability

While we strive to provide high-quality services, we do not guarantee:

  • Complete immunity to cyberattacks after implementing our recommendations.
  • That all vulnerabilities will be identified or resolved. We are not liable for damages or losses resulting from the use of our services, except as required by applicable law.
  • NexSecure Solutions LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
  • NexSecure Solutions LLC is not responsible for damages resulting from the actions, inactions, or breaches of third parties, including vendors, contractors, or service providers involved in the engagement.
  • NexSecure Solutions LLC is not liable for any damage, downtime, or loss caused by pre-existing vulnerabilities or misconfigurations in the client’s systems that are exposed or exacerbated during the engagement.
  • NexSecure Solutions LLC shall not be held responsible for any delays, failures, or damages caused by events beyond its reasonable control, including natural disasters, acts of God, cyberattacks, government actions, or other unforeseen circumstances.
  • NexSecure Solutions LLC is not responsible for any consequences arising from the client’s failure to implement or improperly implement the company’s recommendations.
  • NexSecure Solutions LLC is not liable for any unintended disruptions, outages, or anomalies caused by authorized testing activities, such as penetration testing or vulnerability scanning, performed within the scope of the engagement.
  • NexSecure Solutions LLC’s liability is limited to the direct services provided. Any use, modification, or distribution of deliverables outside the intended scope is at the client’s own risk.
  • NexSecure Solutions LLC’s total cumulative liability for all claims arising from or related to the engagement is limited to the total fees paid by the client for the services in question.
  • NexSecure Solutions LLC is not liable for the client’s failure to comply with legal, regulatory, or compliance requirements that are outside the scope of the engagement or were not disclosed to the company.
  • NexSecure Solutions LLC is not responsible for malfunctions, vulnerabilities, or security issues related to third-party tools, software, or systems recommended or used during the engagement.
  • NexSecure Solutions LLC cannot guarantee that its services will prevent all cyber threats, breaches, or incidents. The services are intended to reduce risk and improve security posture but cannot eliminate all risks.
  • NexSecure Solutions LLC is not liable for any damages resulting from the client’s sharing or misuse of confidential reports or deliverables provided during the engagement.

9. Payment Terms

  • Payment terms will be outlined in the SOW or service agreement.
  • Late payments may incur interest or penalties as agreed upon in the contract.

10. Termination

We reserve the right to terminate services if:

  • The client breaches the agreement.
  • The client engages in unethical or illegal activities.

The client may terminate services with written notice, subject to any cancellation terms outlined in the SOW.


11. Amendments

We reserve the right to update or amend these Terms and Conditions. Any changes will be posted on our website and communicated as necessary.


12. Dispute Resolution

  • Any disputes will be resolved amicably through negotiation.
  • If a resolution cannot be reached, disputes may be resolved through mediation or arbitration, as agreed upon by both parties.
